Terms and Conditions of Sale

By purchasing products or services from JusticeForFreeze (“JFF”), you agree to the following Terms and Conditions of Sale. These terms supersede any conflicting terms issued by the client unless otherwise agreed to in writing and signed by JFF.

1. Applicability of Terms

The client expressly waives the application of its own standard terms and conditions, regardless of when they were drafted or communicated. Any exception or modification to these Terms of Sale must be agreed to in writing and confirmed by JFF prior to taking effect.

2. Payment Terms

Invoices are payable within 21 business days unless otherwise specified on the invoice or purchase order.

  • Failure to pay by the due date entitles JFF to charge a fixed late-payment interest of 10% of the outstanding balance.

  • JFF may suspend services or deliveries without prior notice in the event of late or non-payment.

3. Debt Collection

If payment remains overdue more than 60 days past the due date, JFF reserves the right to engage a debt collection agency. Any costs, including legal expenses incurred in pursuing recovery, will be borne by the client.

4. Withholding Taxes

Some jurisdictions impose withholding taxes on cross-border payments. The client remains fully responsible for any such taxes or deductions required under local law. Under no circumstances will JFF bear these costs, and invoices must be paid in full without deductions.

5. Service Commitments

JFF will use reasonable efforts to deliver services and products on time and in accordance with agreed schedules. However:

  • JFF’s obligations are best-effort commitments and not guarantees of specific results.

  • JFF will not assume liability for damages claimed against the client by third parties or end users.

6. Claims and Disputes

Any claim related to goods or services provided by JFF must be submitted in writing via registered mail to JFF’s registered office within 8 days of delivery or completion of services. Claims submitted after this period will not be accepted.

7. Governing Law

All contractual relations between the client and JFF are governed exclusively by the laws of the United States of America.
